• Upload, generate, or distribute harmful, offensive, or deceptive content

Subject to your compliance with these Terms, Codika grants you a limited, non-exclusive, non-transferable license to use the Services for internal business purposes. No rights are granted to reverse engineer, reproduce, sell, or distribute any part of the platform unless expressly authorized in writing.

Generated Content and Responsibility

Our AI systems may generate code, designs, or suggestions (“Generated Content”) based on your inputs. You retain rights to use Generated Content, but you are solely responsible for reviewing, testing, and ensuring its suitability for your intended use. Codika makes no warranties about the functionality, legality, or accuracy of the Generated Content.

Payment and Billing

Some Services are offered under paid plans. By subscribing to a plan, you agree to the pricing, billing cycle, and payment terms described at the time of checkout.

We reserve the right to change pricing at any time, with advance notice for active subscriptions. Failure to pay may result in account suspension or downgrade.

Service Availability and Updates

Codika strives to provide uninterrupted access but does not guarantee 100% uptime. We may temporarily suspend access for maintenance, upgrades, or unforeseen technical issues.

We may modify or discontinue features without liability. Your continued use of the Services after changes constitutes acceptance of the updated Terms.

Limitation of Liability

To the fullest extent permitted by law, Codika shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of or inability to use the Services — including errors in generated output, data loss, or loss of profits.

In no event shall our total liability exceed the amount paid by you for the Services during the 12 months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Codika and its officers, directors, employees, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Services, your violation of these Terms, or your infringement of any rights.

Termination

You may stop using Codika at any time. We may suspend or terminate your access if you violate these Terms, use the Services in a harmful or abusive manner, or if we are required to do so by law.

Upon termination, your access to the Services will cease, and we may delete any associated data or projects. You are responsible for exporting any data before account closure.

Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of the United States of America, without regard to its conflict of laws principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Dover, Delaware.

Changes to Terms

We may update these Terms from time to time. When we do, we will revise the “Effective Date” at the top. Material changes will be communicated via our website or email. Continued use after changes means you accept the revised Terms.
